BYLAWS

 

 ARTICLE I.  Name

This organization shall be known as Busy Bee Quilters.

 

 ARTICLE II.  Purpose

Busy Bee Quilters is organized exclusively for educational purposes to encourage all interested individuals in the study of quilting in all its forms.

 

 ARTICLE III.  Membership and Dues

Membership is open to all interested persons paying current annual dues as set at the May meeting by majority vote of the members present.

 

 A. Seniors (over age 65) pay only the cost of the newsletter, but are eligible for full membership benefits.

 

 B. Adults (18 to 65) pay full dues and enjoy full membership privileges.

 

 C. Juniors (under age 18) may pay no dues and enjoy limited membership, in that they may not hold office, vote, spend guild money, or attend guild retreats without a guardian.  Other limitations as determined by the Board may apply.

 

 D. Dues are payable August 1st each year and are delinquent on September 1st of the same year.

 

 E. Each member must make a commitment to spend at least 4 hours each year at any community event of his or her choice, i.e. the Quilt Show.  (Note: jobs can be completed before the Quilt Show and do not require working at the show).

 

 F. Eligibility requirements for participation in guild-sponsored activities (non-point earning such as retreats, day camp, quilt show exhibits, workshops, etc.) are:

 

1.  Dues must be current.

2.  Members must have joined at least 3 months prior to the event.    The Executive Board on a case-by-case basis may make exceptions.

Note:  Exceptions are granted based on individual circumstances and space availability for the event.

 

 G. Only members in good standing (per Article lll. F) who have met a 4 hour work commitment for the Quilt Show held in their most recent membership period are eligible to enter a quilt(s) in the current year Quilt Show.  New members must only have paid their dues in accordance with Article lll.

Note:  Exceptions may be granted on a case-by-case basis determined by individual circumstances and availability of space.  In the event of an exemption from the 4 hour Quilt Show requirement, a fee would be assessed for entry in the show.  Amount of said fee would be set by the Executive Board and due and payable at the entry deadline date.

 

 ARTICLE IV.  Officers

 A. The Officers of the organization shall be the President, Vice  President, Recording Secretary, Points Secretary, Treasurer, and Newsletter Editor. This group comprises the Executive Board and has the power to make decisions of an immediate nature between meetings.

 

 B. The Executive Board shall have the power to appoint a replacement for any Officer who is unable to complete the term of office.

 C. No elected officer shall serve as a Committee Coordinator (Chairperson) during his or her elected term. However, the elected officers may serve on any Standing or Special Committee.

 

 ARTICLE V.  Duties of Officers

 A. The PRESIDENT presides at meetings, keeps membership informed of club activities, and is responsible for the club banner and its display.

 

 B. The VICE PRESIDENT presides at meetings in the President’s absence and arranges monthly programs related to quilting, arranges educational workshops related to quilting and scheduling of Thursday-After events.

 

 C. The RECORDING SECRETARY keeps written records of board meetings and general meetings, and provides a written summary of both to the Newsletter Editor for publication in the monthly Newsletter.

 

 D. The POINTS SECRETARY keeps accurate attendance records, written records of members’ earned points, and records of group quilts, including the start and finish dates. After eligibility has been established, the secretary schedules group quilt block distribution.

 

 E. The TREASURER keeps accurate records of all monetary receipts, receives all payments for dues and other fees, pays all bills, and submits records for audit in June of each year. The Treasurer also keeps accurate records of members in good standing.  The Treasurer will serve for one year but not for more than two consecutive years in the position.

 

The Treasurer will provide a monthly report of checking and savings account balances, income and expenditures for the prior month. This report will be published in the monthly Busy Bee Quilters Newsletter

The Treasurer shall be responsible for submitting any necessary reports or fees to Government Agencies for continuance of Busy Bee Quilters’ non-profit status, 501(c)(3).

At each monthly Executive Board Meeting the Treasurer will submit for approval by the Executive Board any bills received in the prior month. Such expenditures will be included in the Treasurer’s report. On those occasions when expenditures must be made prior to the next meeting of the Executive Board, a minimum of two officers would be required to authorize payment.

 

 F. The NEWSLETTER EDITOR writes, publishes and distributes a monthly Newsletter to keep members informed of club activities, quilting events, and other related items of interest.

 

 ARTICLE IV.  Nominations and Elections

 A. The Nominating Committee for new officers for the following year should consist of the following: a past President, three previous Board members, and one member-at-large who is chosen by the Board to balance the committee so that all members are represented.

 

 B. Nominations should be submitted two months prior to the election and published in the Busy Bee Newsletter twice.

 

 C. A majority vote of members voting in person or by mail shall be required to be elected to any office in Busy Bee Quilters. Mail-in ballots must be received by Election Day.

 

 ARTICLE VII.  Committees

 A. For Standing Committees, a call for volunteers must be printed in the newsletter and announced at the regular officer election meeting. The Board will then select the chairperson from these volunteers (this gives all members a chance to serve). They shall serve until the new board is elected.  Note:  All members are encouraged to volunteer for committees of interest to them. The Board determines the Chairperson.

 

 B. An Advisory Committee of three members will be established to oversee the changing of the Executive Board and remind the new Board of certain procedures and requirements.

 ARTICLE VIII.   Meetings

Club business is presented for discussion at Executive Board meetings, which shall be open to all members, with time, place, and agenda announced at the monthly general meetings and in the newsletter. Business at program meetings will be confined to topics previously introduced at Executive Board meetings, and further discussion will be limited to 5 minutes per topic. Business meetings should be kept to a maximum of 30 minutes.

 

 ARTICLE IX.  Point Award Summary

 A. Quilt projects will be rotated among members according to policies listed in the Point Award Summary.

 

 B. The Point Award Summary may be amended at the May program meeting every two years, beginning May 2001.

 

 ARTICLE X.   Disbursements of Funds

 A. All funds accumulated by Busy Bee Quilters in excess of necessary operating costs shall be used for educational purposes. If the organization is disbanded, all funds remaining after all bills are paid shall be donated to an educational organization which qualifies as a 501(c)(3), such organization to be determined by the Executive Board and the Advisory Committee.

 

 B. Expenditures of Busy Bee Quilters’ moneys by any member must be approved in advance by the Executive Board.

 

 C.  There will be a strict accounting of income and expenses for revenue events including the Auction, Day Camp, Quilt Show, Raffle Quilts, and Retreats.  Each committee MUST have a Committee Chairperson and a Records Clerk.  Vouchers, to be considered submitted to the guild Treasurer, MUST include both signatures.  Note:  The Records Clerk keeps track of income and expenses associated with the event, including a detailed accounting of all monies for deposit and all expenditures for payment or reimbursement, which are to be given to the Treasurer.  No purchases or expenditures are to be made out of incoming monies. 

 

ARTICLE XI.  Amendments

The Bylaws may be amended at the November and May general meetings by a majority vote of those present, provided the amendment has been submitted and accepted by the Executive Board two months prior to the vote and published twice in the Busy Bee Newsletter

 

ARTICLE XII.  Roberts Rules of Order

Roberts Rules of Order shall be followed in all matters not covered in these Bylaws.

the May meeting. Be sure to include your name on the
